Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the ForgeTrack platform, including all websites, applications, and services operated by Edson Technologies (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using ForgeTrack, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

ForgeTrack is a multi-tenant, AI-powered engineering analytics platform that helps software teams track development effort, log engineering decisions, estimate equivalent development effort using AI, and generate documentation for purposes including IRS R&D tax credit claims and investor reporting. The platform is provided on a software-as-a-service (SaaS) basis.

3. User Accounts and Workspaces

When you register, a workspace is created for you with a unique subdomain (e.g., yourcompany.forgetrack.io). As the Owner of your workspace you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your workspace, including those of team members you invite
• Ensuring that users you add to your workspace comply with these Terms

Notify us immediately at security@forgetrack.io of any unauthorized access to your account.

4. Subscription Tiers and Billing

ForgeTrack is offered under the following subscription tiers:

• Free — $0/mo: 1 project, 50 work items, 10 AI estimations per month
• Builder — $29/mo: 5 projects, unlimited work items, 100 AI estimations, PDF/XLSX exports, IRS report generator
• Professional — $79/mo: Unlimited projects, Git integration, full export suite, custom benchmarks, API access
• Enterprise — $199/mo: Everything in Professional, plus custom domain, SSO, priority support, and white-label reports

Billing is processed by Stripe, Inc. By providing payment information you authorize us to charge your payment method on a recurring monthly or annual basis. Annual subscriptions include a discount equivalent to two months free.

AI estimation calls beyond your tier’s monthly allotment are billed at $0.01 per call. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We do not issue prorated refunds for unused time on monthly subscriptions.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Submit false or misleading information, including fabricated engineering activity for tax credit purposes
• Attempt to gain unauthorized access to any part of the Service or other workspaces
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use automated means beyond normal API usage without written permission
• Resell, sublicense, or white-label the Service without an Enterprise agreement

6. AI-Powered Features

ForgeTrack uses artificial intelligence to estimate engineering effort, score technical complexity, and generate documentation narratives. Regarding tax and financial use:

• AI-generated IRS R&D tax credit reports are documentation aids and do not constitute legal or tax advice
• You are responsible for reviewing all AI-generated documentation with a qualified CPA or tax advisor before filing
• Investor reports reflect the data you have entered and are not audited financial statements
• We make no representation that AI-generated content will satisfy the requirements of any particular tax authority

7. API Access

Professional and Enterprise subscribers may access the ForgeTrack API. API access is subject to rate limits (100 requests per minute per workspace). You are responsible for securing your API credentials and for all usage under your account.

8. Git Integration

When you connect a GitHub repository, you grant ForgeTrack read access to commit history and file change metadata via the GitHub API. We do not access, store, or transmit the contents of your source code files. You may revoke this integration at any time from workspace settings.

9. Intellectual Property

The ForgeTrack platform and all related intellectual property is owned by Edson Technologies. skipLogic™ is a trademark of Edson Group LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Content you enter into the platform remains your property. By entering content, you grant us a limited license to process, store, and transmit it as necessary to provide the Service, including for AI processing and report generation.

10. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect your information. Multi-tenant data isolation ensures your workspace data is never accessible to other workspaces.

11. Data Export and Portability

You may export your project data at any time in JSON, CSV, XLSX, or PDF format using the platform’s built-in export features. On account cancellation, you have 30 days to export your data before it is deleted.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. ForgeTrack is hosted on Microsoft Azure and inherits Azure’s infrastructure availability commitments.

13. Limitation of Liability

To the maximum extent permitted by law, Edson Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total aggregate liability shall not exceed the amount you paid us in the twelve months preceding the claim. For Free tier users, aggregate liability is limited to $100.

14. Indemnification

You agree to indemnify and hold harmless Edson Technologies from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your use of AI-generated reports and documentation.

15. Termination

We may suspend or terminate your access at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

16. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Dallas County, Texas.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a revised effective date and by email to your account address. Continued use of the Service after changes constitutes acceptance.
